THIS PRECEDENT AND FACILITIES AGREEMENT (“Agreement”) is made and entered into as of September 29, 2023 (“Effective Date”), by and between KERN RIVER GAS TRANSMISSION COMPANY (“Kern River”), a Delaware corporation, and PACIFICORP (“Customer”), an Oregon corporation. Hereinafter, Kern River and Customer may be referred to individually as a “Party” or collectively as the “Parties.”
