These Terms and Conditions of Purchase (these “Terms”) are the only terms which govern the purchase of material and other goods (the “Goods”) and services (the “Services”) by Aerial Machine & Tool LLC and its affiliates (collectively, “Aerial”) from the seller or vendor named on the applicable purchase order (the “Supplier”). The applicable purchase order issued by Aerial (the “Purchase Order”) and these Terms (collectively, this “Agreement”) comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral except to the extent a separate confidentiality agreement has been entered into by the parties. In the event of a conflict between these Terms and the Purchase Order, the Purchase Order shall prevail. These Terms prevail over any of Supplier’s general terms and conditions of sale including any requirements related to U.S. Government contract
