WHEREAS, Seller is presently under contract with Owners to purchase that certain real property consisting of approximately 153.55 +/- acres located in Sumter County, Florida and as more particularly described on Exhibit “A” attached hereto (the “Wholelife PUD”), pursuant to a contract dated May 28, 2015, (as amended, the “Contract”) which Contract is in full force and effect; and
