WHEREAS, the City and the Authority have previously entered into a Lease Agreement dated as of March 1, 2023 (the “Lease Agreement”), a memorandum of which was recorded as Document No. 2023-0065791 in the Official Records of the San Bernardino County Recorder’s Office, under which the City leased to the Authority the property set forth therein and described in Exhibit A thereto (the “Leased Premises”) for the purpose of securing payments made with respect to the $100,000,000 Ontario Public Financing Authority Taxable Lease Revenue Bonds, 2023 Series A (the “Bonds”), which were issued pursuant to a Indenture of Trust (the “Indenture”) dated as of March 1, 2023, by and between the Ontario Finance Authority and Zions Bancorporation, National Association; and
