THIS AGREEMENT is made by and between BellSouth Telecommunications, Inc., (“BellSouth”), a Georgia Corporation, and ComScape Telecommunications, Inc. and its affiliates (”ComScape”) a Ohio Corporation and shall be deemed effective as of December 15, 2001 (the “Effective Date”). This Agreement may refer to either BellSouth or ComScape or both as a “party” or “parties.”
