This Merchant Processing Agreement is for merchant card payment processing services among the merchant that signed the Application (“Merchant”), North American Banking Company (“FI”) and Channel Payments (“Processor”). The Processor and FI are collectively hereinafter referred to as the “Bank.” Bank reserves the right to allocate Bank’s duties and obligations amongst themselves as they deem appropriate without notice to Merchant and in their sole and absolute discretion, and Bank may assert or exercise any rights or remedies provided to Bank under this Agreement as well as all applicable Rules, and laws, rules, and regulations. Merchant acknowledges that this Agreement is not and shall not be effective until accepted by Bank, and that the signature of the representative on the Merchant Application only constitutes acknowledgment of the offer made by the representative on behalf of, and contingent upon the approval of Bank as evidenced by Bank’s assignment of a merchant identification n
