This Assignment and Assumption Agreement (this “Assignment Agreement”) is made, and is effective, as of April 1, 2021, by and between Franklin Templeton Portfolio Advisors, Inc. (“FTPA”), through its Franklin Portfolio Advisors division, and Franklin Advisers, Inc. (“FAV”), and is consented to, and, with respect to Section 3 and Section 4, acknowledged and agreed by, The Board of Trustees of the City of Sarasota Police Officers’ Pension Plan (“Client”).
