THIS DEVELOPMENT AGREEMENT (“Agreement”) is made and entered into this 23rd day of July 2024, by and between the Long Island Lighting Company d/b/a LIPA, a subsidiary of the Long Island Power Authority, which is an instrumentality and political subdivision of the State of New York (collectively, “Designated Entity”), and the New York Independent System Operator, Inc., a not-for-profit corporation organized and existing under the laws of the State of New York (“NYISO”). Designated Entity or NYISO each may be referred to as a “Party” or collectively referred to as the “Parties.” The Parties are the only parties to this Agreement. Long Island Electric Utility Servco LLC ("Servco") is not a party to this Agreement and is executing and administering this Agreement on behalf of the Designated Entity as the Designated Entity's agent.
