This DEBTOR-IN-POSSESSION CREDIT AGREEMENT ("Agreement") is entered into as of June [_], 2008 among SCOTIA PACIFIC COMPANY LLC, a Delaware limited liability company (the "Borrower"), as a debtor and a debtor-in-possession, each lender from time to time party hereto (collectively, the "Lenders" and individually, a "Lender"), and LEHMAN COMMERCIAL PAPER INC., as administrative agent for the Lenders (in such capacity, and together with any successor administrative agent acting in such capacity, the "Administrative Agent") and as documentation agent and collateral agent for the Lenders.
