This Third Amended and Restated Agreement of Limited Partnership (as amended and restated to date, this “Agreement”) is entered into as of February 24, 2025, by and among Icahn Enterprises G.P. Inc., a Delaware corporation, as general partner (the “General Partner”) and all other persons and entities who shall in the future become limited partners of this limited partnership in accordance with the provisions hereof (the “Limited Partners”).
