THIS OPERATING AGREEMENT (this “Agreement”) is made and entered into as of this 1st day of January 1, 2018, by and among (a) VICTOR GEORGE SPIRITS, LLC, a Florida limited liability company (the “Company”), (b) the holders of the Company’s Class A Units (as hereinafter defined) listed on Schedule I attached hereto (each, a “Class A Holder” and collectively, the “Class A Holders”), and (c) the holders of the Company’s Class A Preferred Units (as hereinafter defined) listed on Schedule I attached hereto (each a “Class A Preferred Holder” and collectively the “Class A Preferred Holders”). The Class A Holders, the Class A Preferred Holders and any person or entity that hereafter acquires any now outstanding or hereafter issued Units are collectively referred to as the “Members” and individually as a “Member”. Capitalized terms used herein and not otherwise defined have the meanings set forth in Exhibit A attached hereto.
