This Data Processing Agreement (this "DPA") is effective as of (the "DPA Effective Date") by and between or its applicable Affiliates ("Customer") and Expel, Inc., a Delaware corporation or its applicable Affiliates ("Vendor" or "Expel"). The Vendor provides certain software, hardware and/or services (collectively "Services") to Customer under various agreements between Customer and Vendor (collectively the "Vendor Agreement").
