Omnicell, Inc. and its assigns and wholly owned subsidiaries (“Omnicell”) and Customer have an agreement in place (“Underlying Agreement”) under which Omnicell has granted Customer access to certain Licensed Software as set forth in an applicable Pricing Supplement. To the extent the Underlying Agreement grants Customer access to one or more Licensed Software modules, these terms of use (“Module TOU”) and the applicable Exhibit(s) in these Module TOU will apply. By accessing or using an Licensed Software module, Customer hereby accepts and agrees to be bound by these Module TOU. Except as expressly amended or modified herein and then only to the extent so modified with respect to the Licensed Software module, the terms of the Underlying Agreement remain in full force and effect. To the extent of any conflict between these Module TOU and the Underlying Agreement, these Module TOU will control with respect to the applicable Licensed Software module.
