THIS SALES AND DISPOSITION AGREEMENT (this “Agreement”) is entered into effective as of August 20, 2024 (“Effective Date”) by and among the City of Santa Maria, a municipal corporation (“City”) and VERNON PROPERTY GROUP, LLC, a California limited liability company (“VERNON” or “Developer”). City and VERNON are collectively referred to herein as the “Parties.”
