THIS OPERATIONS TRANSFER AGREEMENT (“Transfer Agreement” or “Agreement”) is made and effective December [ ], 2024 (the “Effective Date”) by and between THE CITY OF MARIANNA, a Florida municipality (“Operator”) (including its Marianna Health and Rehabilitation Center dependent special district) and MARIANNA REHABILITATION CENTER, LLC, a Florida limited liability company (“New Operator”). Operator and New Operator are sometimes hereinafter referred to individually as a “Party” and collectively referred to as the “Parties.” Capitalized terms shall have the meanings set out in Section 35 hereof.
