The Federal Trade Commission (“Commission”), having initiated an investigation of the proposed acquisition by Proposed Respondent Impax Laboratories, Inc. (“Impax”) of the voting securities of Proposed Respondent Tower Holdings, Inc. (“Tower”) and Lineage Therapeutics, Inc. (“Lineage”) from Proposed Respondent RoundTable Healthcare Partners II, LP (“RoundTable”) (Impax, Tower, and RoundTable are hereinafter collectively referred to as “Proposed Respondents”), and it now appearing that Proposed Respondents are willing to enter into this Agreement Containing Consent Orders (“Consent Agreement”) to divest certain assets and providing for other relief:
