This Agreement, made and entered into on the date when signed by the party signing last in time (“Effective Date”), by and between National Grid USA Service Company, Inc., a corporation organized and existing under the laws of the Commonwealth of Massachusetts, with its principal place of business at 40 Sylvan Road, Waltham, Massachusetts 02451 for and on behalf of its affiliate companies which may include the following entities: Niagara Mohawk Power Corporation (hereinafter collectively the “COMPANIES” and individually the “Company”) (“Owner”), and Northline Utilities LLC, a New York limited liability company, having its principal place of business at 15 School Lane, Suite 200, AuSable Forks, NY 12912 (“Contractor”).
