(the “Partnership”) is made on July 9, 2021, by and among APC Management, L.P., a Delaware limited partnership, as general partner (the “General Partner”) of the Partnership, Matthew Jill as initial limited partner (the “Initial Limited Partner”), those Persons that have executed (directly or by power of attorney) a counterpart to this Agreement, as “Limited Partners” (the “Limited Partners”) as of the date hereof, and such other Persons that may hereafter be admitted to the Partnership as Partners. The General Partner and the Limited Partners are sometimes referred to herein collectively as the “Partners.”
