THIS AGREEMENT AND PLAN OF CONVERSION (this “Agreement”) is made and entered into as of the 9th day of September, 2024 (the “Signing Date”), by and among SENECA, SIGEL MUTUAL INSURANCE COMPANY, a Wisconsin town mutual insurance corporation with its place of business at 6514 Cameron Avenue, Vesper, Wood County, Wisconsin (“Seneca”) and LEBANON-CLYMAN MUTUAL INSURANCE COMPANY, a Wisconsin town mutual insurance corporation with its place of business at N1826 County Road R, Lebanon, Dodge County Wisconsin (“Lebanon”, together with Seneca is collectively referred to herein as the “Constituent Corporations” and each a “Constituent Corporation”).
