WHEREAS, MediaOne of Western New England, Inc. (hereinafter "MediaOne" or "Licensee") is the duly authorized holder of a license to operate a Cable Communications System in the City of Agawam, Massachusetts (hereinafter the "City"), said license having originally commenced on July 6, 1990;
