We have entered into a sales agreement, or the Sales Agreement, with Leerink Partners LLC, or Leerink Partners, dated June 28, 2024, relating to the sale of our ordinary shares offered by this prospectus supplement. In accordance with the terms of the Sales Agreement, under this prospectus supplement we may offer and sell our ordinary shares, nominal value €0.12 per share, having an aggregate offering price of up to $75,000,000 from time to time through Leerink Partners, acting as our agent.
