This Settlement Agreement and Release is made and entered into as of the 19 day of March, 2013 ("Effective Date") by and between Project SEED, LLC, Lab Holding LLC, Shaheen Sadeghi (collectively, "Project SEED"), and the City of Portland, acting by and through the Portland Development Commission and the Portland Development Commission (collectively, "PDC"). Project SEED and PDC are collectively referred to as the "Parties."
