This CREDIT AND GUARANTY AGREEMENT, dated as of February 14, 2012, and as amended as of April 12, 2013, is entered into by and among CEQUEL COMMUNICATIONS, LLC, a Delaware limited liability company (“Company”), CEQUEL COMMUNICATIONS HOLDINGS II, LLC, a Delaware limited liability company (“Holdco”), CERTAIN SUBSIDIARIES OF COMPANY, as Guarantors, the Lenders party hereto from time to time, CREDIT SUISSE AG, Cayman Islands Branch (“Credit Suisse”), as Administrative Agent (together with its permitted successors in such capacity, “Administrative Agent”), as Swing Line Lender (together with its permitted successors in such capacity, “Swing Line Lender”), as Collateral Agent (together with its permitted successors in such capacity, “Collateral Agent”), and as an Issuing Bank, GS LENDING PARTNERS LLC (“GS Lending Partners”) and JPMORGAN CHASE BANK, N.A. (“JPMCB”) as co-Syndication Agents (together with their permitted successors in such capacity, each a “Syndication Agent” and collectively,
