This Agreement is being entered into by the Parties under National Policy 46-201 Escrow for Initial Public Offerings (the Policy) in connection with the proposed distribution (the IPO), by the Issuer, an emerging issuer, by prospectus, of 5,679,666 Class A common shares of the Issuer issuable upon the deemed exercise of 5,679,666 issued and outstanding special warrants of the Issuer, and this Agreement amends and supersedes the escrow agreement among the Parties dated January 31, 2020.
