This Shareholder Agreement (this “Agreement”) is made as of this 08 day of January, 2018 (the “Effective Date”), by and among ABC, Inc., a Kentucky corporation located at 1803 Leroy Lane, Somerset, KY 42564 (the “Company”) and each of the individuals listed on Schedule A attached hereto (each a “Shareholder” and collectively, the “Shareholders”).
