We previously entered into an Open Market Sale AgreementSM (as amended, the “sales agreement”) with Jefferies LLC, B. Riley Securities, Inc., Barclays Capital Inc., BMO Capital Markets Corp., BofA Securities, Inc., Canaccord Genuity LLC, Citigroup Global Markets Inc., J.P. Morgan Securities LLC and Loop Capital Markets LLC, as sales agents (the “sales agents”), relating to the sale of up to $300,000,000 of shares of our common stock, $0.0001 par value per share (“common stock”), offered by our prospectus supplement dated April 10, 2024. As of December 27, 2024, the original date of filing of this prospectus supplement, we had issued and sold $95,077,123.35 of our common stock pursuant to the sales agreement. Accordingly, we registered the offer and sale of shares of our common stock pursuant to the sales agreement having an aggregate offering price of up to $204,922,876.65. Of that amount, as of the date of this prospectus supplement, we have issued and sold shares of our common stock
