by and among the following Parties (as defined below): (i) Wanda D. Casey (“Plaintiff”), individually and on behalf of the Settlement Class (as defined below), her counsel of record FEDERMAN & SHERWOOD (“Plaintiff’s Counsel” or “Class Counsel”); and (ii) Tyler Technologies, Inc. (“Defendant” or “Tyler,” and together with Plaintiff, the “Parties”), through its counsel of record SHOOK, HARDY & BACON (“Tyler’s Counsel”), in the lawsuit of Wanda D. Casey v. Tyler Technologies, Inc., Case No. CJ-2024-5929, filed in the District Court of Oklahoma County, Oklahoma (“Litigation”). The Settlement Agreement is subject to Court approval and is intended by the Parties to fully, finally, and forever resolve, discharge, release, and settle the Released Claims (as defined below), based upon the terms and conditions below.
