THIS OPERATING AGREEMENT (this “Agreement”) of Future Vision Brain Bank, LLC, a Colorado limited liability company (the “Company”), is made and entered into effective as of November 30, 2018 by TGS Global, LLC, a Colorado limited liability company, as its sole member (the “Member”); and together with any other person or entity that is hereafter admitted as a member in accordance with the terms and provisions hereof, but excluding any person that ceases to be a member pursuant to the provisions of this Agreement, the “Members”).

THIS AMENDED AND RESTATED OPERATING AGREEMENT (this “Agreement”) of High Rise Media, LLC, a Colorado limited liability company (the “Company”), shall supersede and replace all previous operating agreements of the Company, and is made and entered into effective as of January 1, 2019 by TGS Global, LLC, a Colorado limited liability company, as its sole member (the “Member”); and together with any other person or entity that is hereafter admitted as a member in accordance with the terms and provisions hereof, but excluding any person that ceases to be a member pursuant to the provisions of this Agreement, the “Members”). On or around January 1, 2019, the previous sole Member of the Company, Beyond Worx Holdings, LLC, a Colorado limited liability company, transferred its entire membership interest in the Company to the Member.
