THIS AGREEMENT is made and entered into as of the day of , 2025, by and between the City of Gulf Shores, an Alabama municipal corporation located at 1905 W 1st Street, Gulf Shores, AL 36542 (hereinafter sometimes referred to as the "City" or the "Client"), and VITALExam, LLC, a Florida limited liability company located at 945 West Michigan Avenue, Suite 10B, Pensacola, Florida 32505 (hereinafter referred to as the "Consultant"), whereby the Consultant will provide professional consulting and related services to the Client as hereinafter specified, through individuals possessing a high degree of professional skill where the personality of the individual will play a decisive role and which is thereby exempt from the Alabama Competitive Bid Law, Ala.
