This DST Dealer Manager Agreement (this “Agreement”) is entered into by and among Nuveen Real Estate Exchange LLC, a Delaware limited liability company (the “Sponsor”), Nuveen Securities, LLC, a Delaware limited liability company (the “Dealer Manager”), solely with respect to its obligations regarding the OP Unit Investor Servicing Fee set forth in Section 4(b) hereof, Nuveen Global Cities REIT OP, LP, a Delaware limited partnership (the “Operating Partnership”) and, solely with respect to its obligations regarding the REIT Share Stockholder Servicing Fee set forth in Section 4(b) hereof, Nuveen Global Cities REIT, Inc., a Maryland corporation (“Nuveen REIT”).

This Second Amended and Restated DST Dealer Manager Agreement (this “Agreement”) is entered into by and among Starwood 1031 Exchange, L.L.C., a Delaware limited liability company (the “Sponsor”), Starwood Capital, L.L.C., a Delaware limited liability company (the “Dealer Manager”) and, solely with respect to its obligations with respect to the OP Unit Investor Servicing Fee set forth in Section 4(d) hereof, Starwood REIT Operating Partnership, L.P., a Delaware limited partnership (the “Operating Partnership”). This Agreement amends and restates in its entirety the Amended and Restated DST Dealer Manager Agreement dated as of April 9, 2024, by and among the Sponsor, the Dealer Manager and, solely with respect to its obligations with respect to the OP Unit Investor Servicing Fee, the Operating Partnership.
