Reference is hereby made to (i) the Letter of Credit Reimbursement Agreement dated as of [ ], 2017 (as amended, supplemented, restated or otherwise modified from time to time the “Agreement”), between the Los Angeles County Metropolitan Transportation Authority (the “Authority”) and Citibank, N.A. (the “Bank”), relating to the Los Angeles County Metropolitan Transportation Authority Second Subordinate Sales Tax Revenue Commercial Paper Notes, Series A-T-Citi and the Los Angeles County Metropolitan Transportation Authority Second Subordinate Sales Tax Revenue Commercial Paper Notes, Series A-TE-Citi (collectively, the “Notes”) and (ii) the Irrevocable Letter of Credit No. [ ] dated [ ], 2017, issued by the Bank pursuant to the Agreement and supporting the Notes. Capitalized terms not otherwise defined herein shall have the meanings set forth in the Agreement.
