In consideration of you agreeing to make an offer by way of a scheme of arrangement (the "Scheme") to acquire (the "Acquisition") all of the issued and to be issued ordinary shares in the capital of the Company (the "Ordinary Shares") substantially on the terms of the attached draft offer announcement (the "Offer Announcement"), we, The Wellcome Trust Limited acting as trustee of the Wellcome Trust, being the beneficial owner of 13,939,185 Ordinary Shares which are held by our nominee JPMC Nominees Limited (the "Voting Shares"), hereby irrevocably and unconditionally (save as specified below) undertake, represent and warrant to and confirm and agree with you as follows.

We confirm that 13,939,185 Ordinary Shares (the "Voting Shares") are held by our nominee, JPMC Nominees Limited (the “Nominee”), and managed for us by Aberforth Partners LLP (the “Manager”).
