Naked Brand Group, Inc., a Nevada corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom Noble Financial Capital Markets and Dawson James Securities, Inc. are acting as representatives (the “Representatives”), an aggregate of _______________shares (the “Firm Shares”) of the Company’s Common Stock, $___________par value per share (the “Common Stock”).
