THIS STOCK PURCHASE AGREEMENT (including all schedules, exhibits and amendments hereto, this “Agreement”) is entered into as of October 6, 2021 among NAI HOLDCO LLC, a Delaware limited liability company (“Buyer”), and OXFORD LIFE INSURANCE COMPANY, an Arizona corporation (“Seller”). Buyer and Seller are referred to collectively herein as the “Parties.”
