This Amended, Extended And Restated Agreement (“Agreement”) shall be deemed effective as of April 14, 2008 (the “Effective Date”), between PNG Telecommunications, Inc. d/b/a PowerNet Global Communications (“PNG”), a corporation organized under the laws of the State of Ohio, with offices at 100 Commercial Drive , Fairfield, OH 45014 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and PNG may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
