(this "Agreement"), of RENOUN HOLDINGS LLC (the “Company” or “RH”), a Delaware limited liability company, dated as of March 1, 2025 (the "Effective Date"), is adopted, executed and agreed to, for good and valuable consideration, by the parties listed on the signature page hereof. This Agreement has been amended and restated as explained in Section 2.1 – Continuation and approved by the Manager (as defined in Section 2.4) pursuant to Sections 5.1.2 and 13.5 hereof.
