RESEARCH AGREEMENT (this "Agreement"), dated as of [ ] (the "Effective Date"), by and between [ ] (the "Research Institution") and CHDI Foundation, Inc., a New Jersey corporation (the "Foundation"). The Research Institution and the Foundation shall hereinafter be referred to individually as a "Party" and collectively as the "Parties".
