WHEREAS, Business Associate will be providing certain services (the “Services”) for or on behalf of Covered Entity pursuant to an agreement between Covered Entity and Business Associate with an effective date of (“Underlying Agreement”) and in performing said Services, Business Associate may create, receive, maintain, or transmit “Protected Health Information” or “PHI” (as such terms are defined by 45 C.F.R. § 160.103 et seq.);
