THIS JUNIOR SUBORDINATE TRUST AGREEMENT (this “Trust Agreement”) is dated as of 1, 2020 and is by and between the LOS ANGELES COUNTY METROPOLITAN TRANSPORTATION AUTHORITY, a county transportation commission duly organized and existing pursuant to Section 130050.2 of the California Public Utilities Code (the “Authority”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association duly organized and existing under and by virtue of the laws of the United States of America, as trustee (the “Trustee”).
