This Crossing Agreement (“Agreement”) is made and entered into this 20th day of May, 2025 by and between Neptune Regional Transmission System, LLC, a Delaware limited liability company (“Neptune”), whose office is at 501 Kings Highway East, Suite 300, Fairfield, CT 06825, and Empire Offshore Wind LLC, a limited liability company registered in the State of Delaware (“EW1”) whose office is at 600 Washington Blvd, Suite 800, Stamford, CT 06901, each of which is referred to herein individually as a “Party” or together as the “Parties”.
