This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of June 1, 2012 (the “Effective Date”), between MCImetro Access Transmission Services LLC (“MCIm”), a limited liability company organized under the laws of the State of Delaware, with offices at One Verizon Way, Basking Ridge, NJ 07920 and Verizon New York Inc. (“Verizon”), a corporation organized under the laws of the State of New York with offices at 140 West Street, New York, NY 10007 (Verizon and MCIm may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
