SUCCESSOR FACILITY TO THE GEORGIA DOME (this “Agreement” or “Tri-Party MOU”) is entered into as of April 5, 2013, by and among the GEO. L. SMITH II GEORGIA WORLD CONGRESS CENTER AUTHORITY, an instrumentality of the State of Georgia and a public corporation (the “GWCCA”), THE ATLANTA DEVELOPMENT AUTHORITY D/B/A INVEST ATLANTA, a body corporate and politic of the State of Georgia duly created and existing under the laws of said State (“Invest Atlanta”), ATLANTA FALCONS STADIUM COMPANY, LLC, a Georgia limited liability company (“StadCo”), and solely with respect to Section 12.3 and Section 15.21, ATLANTA FALCONS FOOTBALL CLUB, LLC, a Georgia limited liability company (the “Club”). The GWCCA, Invest Atlanta and StadCo are sometimes referred to herein individually, as a “Party”, and collectively as the “Parties”.
