(hereinafter “Agreement”), is made and entered into on this 1st day of January_ 2024, by and between LEXINGTON-FAYETTE URBAN COUNTY GOVERNMENT, an urban county government pursuant to KRS Chapter 67A, and located at 200 East Main Street, Lexington, Kentucky 40504 (hereinafter referred to as “Government”), and the SAINT JOSEPH HEALTH SYSTEM, INC., a not-for-profit corporation, whose primary place of business is 1 St. Joseph Drive Street, Lexington, Kentucky 40504 (hereinafter referred to as “System”, Government and System are each a “Party” and collectively, the “Parties”).
