AGREEMENT (this “Agreement”), dated as of May [●], 2021 (the “Effective Date”), of SEIR HILL, LLC, a Delaware limited liability company (the “Company”), is entered into by and among the Company and the Persons named in Schedule A attached hereto and made a part hereof (each a “Member” and collectively, the “Members”), and each Person subsequently admitted as a Member of the Company and agreeing to be bound hereby.
