This First Amendment to City Loan Agreement (the "First Amendment") is entered into as of , 2024, by and between the City of Walnut Creek, a California municipal corporation (“City”), and YVR, L.P., a California limited partnership ("Borrower"). This First Amendment amends the City Loan Agreement between the City and the Borrower dated as of September 1, 2021 (the “Original Agreement”). The City Loan Agreement, as amended by this First Amendment, is referred to herein as the “Agreement.” Capitalized terms used in this First Amendment and not defined shall have the meanings set forth in the Original Agreement.
