This FOURTH AMENDMENT, dated as of September 24, 2024 (this “Agreement”), to that certain CREDIT AGREEMENT, dated as of May 13, 2022 (as amended by that certain First Amendment, dated as of August 17, 2023, that certain Second Amendment, dated as of December 20, 2023, and that certain Third Amendment, dated as of March 20, 2024, and as further amended, restated, amended and restated, supplemented or otherwise modified from time to time prior to the date hereof, the “Existing Credit Agreement”), among AZZ INC., a Texas corporation (the “Company”), the Subsidiaries of the Company party hereto, the LENDERS party hereto and CITIBANK, N.A., as Administrative Agent and Collateral Agent (the “Administrative Agent”) (capitalized terms used but not defined herein have the meaning provided in the Amended Credit Agreement (as defined below)).
