FOURTH SUPPLEMENTAL INDENTURE, dated as of August 1, 2007, between WESTERN MASSACHUSETTS ELECTRIC COMPANY, a corporation duly organized and existing under the laws of the Commonwealth of Massachusetts (the “Company”), and THE BANK OF NEW YORK TRUST COMPANY N.A. (as successor to The Bank of New York), a New York banking corporation organized and existing under the laws of the State of New York, as Trustee under the Original Indenture referred to below (the “Trustee”).
