THIS AGREEMENT was originally made as of September 1, 2008 between Mr. Cary Dunston (the “Employee”) and American Woodmark Corporation, a Virginia corporation (the “Company”) and was amended and restated by the Employee and the Company as of May 31, 2013, is now hereby amended and restated by the Employee and the Company as of September 7, 2015 (the “Amended and Restated Effective Date”).
