This LOAN AND SECURITY AGREEMENT dated as of July 27, 2011 (this “Agreement”), is executed by and between ARI NETWORK SERVICES, INC., a Wisconsin corporation (“Borrower”), which has its chief executive office located at 10850 West Park Place, Suite 1200, Milwaukee, Wisconsin 53224, and FIFTH THIRD BANK, an Ohio banking corporation (“Lender”), whose address is 222 South Riverside Plaza, 32nd Floor, Chicago, Illinois 60606.
