THIS LIMITED LIABILITY COMPANY AGREEMENT of HSBC Absolute Return Portfolio LLC (the "Fund") is dated and effective as of May 20, 2002 by and among the Organizational Member, HSBC Asset Management (Americas) Inc., as Adviser, Special Advisory Member and HSBCAdmin, and each person hereinafter admitted to the Fund and reflected on the books of the Fund as a Member.
